Project Details
In 2019, NAHT had struggled to sustain positive EBITDA and market position. In view of this, LIIF approached the management and directors of NAHT with the possibility of a “Transaction” under which LIIF might acquire the control and majority ownership of NAHT or the assets of NAHT, for consideration up front or over time and with potential commitments between SAHF and LIIF. AHI was engaged to help prepare a written Evaluation Report for the Executive Committee, which includes:
a. Comparative analysis of NAHT relative to customers and competitors,
b. Contextualizes NAHT as a potential additive / diversifying / synergistic complement to the current LIIF platform and business lines.
c. Identifies and assesses potential new products or combined products that could be profitably originated by a post-Transaction LIIF.
d. Sketches a range of possible fair market values for NAHT.
e. Describes principal pros and cons for LIIF of a NAHT Transaction.
f. Describes post-Transaction considerations for LIIF such as (i) governance, (ii) incentives or sharing of upside, and (iii) ongoing, expiring, or contingent commitments by SAHF or its members.
As a follow up of the first project, AHI was contacted to support LIIF’s negotiating team in the following services, as requested by the client:
a. Provide advisory support to the Client in its internal Transaction or Negotiation evaluation or process. May include financial analysis, drafting of proposals or responses, research on market information or comparable transactions or metrics.
b. Participate in negotiation meetings, either in person or virtually.
c. Prepare evaluation or support materials to brief LIIF’s Executive Committee or Board of Directors regarding the transaction, and participate upon request in briefings or discussions.
